1. Acceptance of Terms

By accessing or using CareDesk, an AI-powered operations desk provided by CareLog Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you must not use our services. These Terms apply to all users, including Organization Administrators, Managers, and general care team members.

2. Service Description

CareDesk provides an AI-powered interface specifically designed for care teams to access Standard Operating Procedures (SOPs), organizational policies, and training materials. The Service acts as a secure search, retrieval, and synthesis assistant operating strictly on the documents provided by your organization.

3. User Accounts

Access to CareDesk is granted strictly via invitation by an Organization Administrator. You are responsible for maintaining the confidentiality of your account credentials, including passwords and authentication tokens, and for all activities that occur under your account. You must notify us immediately of any unauthorized use or suspected security breach.

4. Acceptable Use

You agree not to use CareDesk to:

  • Upload documents that you do not own or do not have the right to distribute.
  • Attempt to bypass, exploit, or break any security mechanism, rate limit, or data isolation protocol of the platform.
  • Use the Service to generate misleading, abusive, or unlawful content.
  • Use the service for any illegal or unauthorized purpose that violates local, state, or federal laws.

5. PHI and HIPAA Compliance

CareDesk is an operational tool and is not intended to serve as a primary Electronic Health Record (EHR) system. You agree not to input sensitive Patient Health Information (PHI) directly into the chat interface unless your organization has explicitly executed a separate Business Associate Agreement (BAA) with CareLog Inc. covering such use. In the absence of a BAA, you are solely responsible for ensuring no PHI is transmitted to the Service.

6. Intellectual Property & Data Ownership

CareDesk, including its underlying AI integrations, algorithms, software, and interfaces, remains the exclusive property of CareLog Inc. and its licensors. However, your organization retains all rights, title, and interest to the SOPs, policies, and documents uploaded to the platform. We claim no ownership over your organizational data.

7. SLA and Availability

While we strive to provide uninterrupted access to CareDesk, the Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be completely free of errors, downtime, or network interruptions, and we reserve the right to perform scheduled maintenance with prior notice to Organization Administrators.

8. Limitation of Liability & Medical Disclaimer

In no event shall CareLog Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Medical Disclaimer: CareDesk provides operational and policy information based strictly on your uploaded organizational documents. It is not designed to, and does not, provide medical advice, diagnoses, or treatment recommendations. All decisions regarding patient care remain the absolute responsibility of qualified healthcare professionals.

9. Indemnification

You agree to defend, indemnify, and hold harmless CareLog Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. Organization Administrators may also terminate user access at their discretion.

11. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which CareLog Inc. operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
